Feb. 15, 2006 — Commercial Metals Co.’s Board has modified its Corporate Governance Guidelines to provide for the designation of a Lead Director by its independent directors.

Anthony A. Massaro has been appointed as the new Lead Director. In this position, Massaro will serve as a liaison between the Chairman and independent directors with responsibilities as described in the Corporate Governance Guidelines.

A Board member since 1999, Mr. Massaro chairs the Nominating and Corporate Governance Committee and is a member of the Compensation and Audit Committees of the Board. Mr. Massaro retired as President and CEO of Lincoln Electric Holdings, Inc. in June 2004 and as Chairman of Lincoln Electric's Board in October 2004. Mr. Massaro is also a Director of PNC Financial Services Group, Inc.
