Quanex Schedules Special Meeting to Approve Merger Agreement
Feb. 21, 2008 Quanex Corp. announced plans to hold a special meeting of stockholders to approve and adopt the agreement and plan of merger between Quanex and a subsidiary of Gerdau SA. The meeting will be held on March 31, 2008.
Stockholders of record as of the close of business on Friday, February 29, 2008, will be entitled to vote at the special meeting. The company anticipates mailing a definitive proxy statement regarding the proposed merger to stockholders after the record date.
Completion of Quanex’s merger with Gerdau is subject to stockholder adoption of the merger agreement and the satisfaction of various other closing conditions set forth in the merger agreement.
